James F. ("Jay") Flaherty III

Jay Flaherty is Chairman and Chief Executive Officer of HCP, Inc. (NYSE:HCP). Prior to joining HCP in October 2002, Jay enjoyed a nineteen-year career with Merrill Lynch & Co., serving in a variety of investment banking, capital markets and private equity functions in New York, London, and Los Angeles. His responsibilities at Merrill Lynch included managing the Global Health Care Group, where he created and led their health care franchise.
Jay received a BBA in Accounting from the University of Notre Dame in 1979 and earned an MBA from the Graduate School of Management at the University of California, Los Angeles in 1983. From 1979 to 1981, Jay was a Certified Public Accountant in the Boston office of Ernst & Whinney. Currently he sits on the Board of Governors of the National Association of Real Estate Investment Trusts (NAREIT).

Paul F. Gallagher
Executive Vice President - Chief Investment Officer

Prior to joining HCP, Inc., Paul Gallagher spent 15 years with the Real Estate group of General Electric Commercial Finance, one of the nation's leading commercial finance organizations. He held various leadership roles including establishing and operating the firm's debt and equity investment group in Latin America. In addition, Paul formed several strategic equity joint ventures with institutional clients. While at GE he was involved in approximately $4 billion in transactions. Prior to joining GE, Paul was with E.F. Hutton Life Insurance Co., where he established and ran a mortgage lending operation to balance the investment portfolio of a life insurance subsidiary of E.F. Hutton.

Edward J. Henning, Esq.

Ed Henning is General Counsel of HCP, Inc., and also serves as Executive Vice President, Chief Administrative Officer and Corporate Secretary. He has been with the Company since 1994. Previously, Ed was Vice President and Legal Counsel at Weyerhaeuser Mortgage Company in Los Angeles, California. Before that he represented HCP, Inc. in private practice at Latham & Watkins, also in Los Angeles.

Thomas M. Klaritch
Executive Vice President - Medical Office Properties

Tom Klaritch is Executive Vice President - Medical Office Properties. From October 2003 through April 2008, he served as our Senior Vice President - Medical Office Properties. Prior to that, he was a founding member and Chief Financial Officer of MedCap Properties LLC, a real estate company located in Nashville, TN that owned, operated and developed real estate in the healthcare field. (HCP acquired MedCap Properties LLC in October 2003.) Tom has over 20 years of operational and financial management experience in the hospital and medical office sectors. He is a certified public accountant.

Marshall D. Lees
Executive Vice President - Life Science Estates

Marshall Lees became the Company's Executive Vice President on August 1, 2007. Prior to that he served as the President and Chief Executive Officer of Slough Estates USA Inc. for 18 years, which was acquired by HCP in August 2007. At HCP he will assume expanded responsibilities for management of HCP's existing life sciences portfolio.

Donald S. McNutt
Executive Vice President - Operations

Don McNutt joined the Company on August 1, 2007 as its Executive Vice President - Operations. Previously, he spent 31 years in various positions with The Irvine Company, a privately-held real estate investment company. He has extensive experience in real estate operations, development and leasing.

Mark A. Wallace
Executive Vice President - Chief Financial Officer and Treasurer

Mark Wallace has broad experience in accounting, finance, information technology and administration. He was formerly the Executive Vice President and Chief Financial Officer of Tremont Corporation and TIMET, its principal operating subsidiary, which were both publicly traded NYSE companies during his tenure. Mark previously was employed by Valhi, Inc., a NYSE holding company, and the public accounting firm of Arthur Andersen LLP. He is a certified public accountant.
