James F. ("Jay") Flaherty III Chairman and Chief Executive Officer

Jay Flaherty is Chairman and Chief Executive Officer of HCP, Inc. (NYSE:HCP). Prior to joining HCP in October 2002, Jay enjoyed a nineteen-year career with Merrill Lynch & Co., serving in a variety of investment banking, capital markets and private equity functions in New York, London, and Los Angeles. His responsibilities at Merrill Lynch included managing the Global Health Care Group, where he created and led their health care franchise.

Jay received a BBA in Accounting from the University of Notre Dame in 1979 and earned an MBA from the Graduate School of Management at the University of California, Los Angeles in 1983. From 1979 to 1981, Jay was a Certified Public Accountant in the Boston office of Ernst & Whinney. Currently he sits on the Board of Governors of the National Association of Real Estate Investment Trusts (NAREIT).

Jonathan M. Bergschneider Executive Vice President - Life Science Estates

Jon Bergschneider is Executive Vice President - Life Science Estates. He previously served as our Senior Vice President - Life Science Estates. Jon joined HCP in 2007 as Vice President in conjunction with HCP's $3.0 billion acquisition of Slough Estates (USA). Previously, he was employed by Slough Estates from 2000 to 2007 during the creation and build-out of that company's life science portfolio.

Paul F. Gallagher Executive Vice President - Chief Investment Officer

Prior to joining HCP, Inc., Paul Gallagher spent 15 years with GE Capital Real Estate, one of the nation's leading commercial finance organizations. He held various leadership roles including establishing and operating the firm's debt and equity investment group in Latin America. In addition, Paul formed several strategic equity joint ventures with institutional clients. While at GE he was involved in approximately $4 billion in transactions. Prior to joining GE, Paul was with E.F. Hutton Life Insurance Co., where he established and ran a mortgage lending operation to balance the investment portfolio of a life insurance subsidiary of E.F. Hutton.

Edward J. Henning Executive Vice President

Ed Henning is Executive Vice President. He has been with the Company since 1994 and previously served as our Executive Vice President, General Counsel, Chief Administrative Officer and Corporate Secretary. Prior to joining us, Ed was Vice President and Legal Counsel at Weyerhaeuser Mortgage Company in Los Angeles, California. Before that he represented HCP, Inc. in private practice at Latham & Watkins, also in Los Angeles.

Thomas D. Kirby Executive Vice President - Acquisitions and Valuations

Tom Kirby is Executive Vice President - Acquisitions and Valuations. He previously served as our Senior Vice President - Acquisitions and Valuations. He joined us in 1998 after 20 years with a healthcare oriented national valuations firm.

Thomas M. Klaritch Executive Vice President - Medical Office Properties

Tom Klaritch is Executive Vice President - Medical Office Properties. From October 2003 through April 2008, he served as our Senior Vice President - Medical Office Properties. Prior to that, he was a founding member and Chief Financial Officer of MedCap Properties LLC, a real estate company located in Nashville, TN that owned, operated and developed real estate in the healthcare field. (HCP acquired MedCap Properties LLC in October 2003.) Tom has over 25 years of operational and financial management experience in the hospital and medical office sectors. He is a certified public accountant.

James W. Mercer Executive Vice President, General Counsel and Corporate Secretary

Jim Mercer is Executive Vice President, General Counsel and Corporate Secretary. Prior to joining us in 2011, he was Of Counsel at Bryan Cave LLP for 5 years. Jim has over 40 years of experience serving in both legal counsel and senior management capacities, including 15 years as a Partner at Hennigan, Mercer & Bennett and 5 years as Special Counsel at WebMD Corporation.

Timothy M. Schoen Executive Vice President and Chief Financial Officer

Tim Schoen is Executive Vice President and Chief Financial Officer. He previously served as our Executive Vice President - Life Science and Investment Management. Prior to joining us in 2006, he spent nine years with Kilroy Realty Corporation, a publicly traded real estate investment trust that owned, developed and operated office and industrial buildings, and served most recently as its Vice President, Corporate Finance.

Susan M. Tate Executive Vice President - Asset Management and Senior Housing

Susan Tate is Executive Vice President - Asset Management and Senior Housing. She previously served as our Senior Vice President - Asset Management. Prior to joining us in 2007, she spent 19 years at JPMorgan and its predecessor institutions in both healthcare and real estate lending positions, including most recently as Vice President, Real Estate Corporate Banking.

Kendall K. Young Executive Vice President

Kendall Young is Executive Vice President. Prior to joining us in September of 2010, Kendall was affiliated with Strategic Value Partners in Greenwich, Connecticut, where he was a Managing Director. In his position as Global Head of Asset Management, Kendall was responsible for managing all aspects of a large commercial property portfolio. Before that, he held Managing Director positions with Merrill Lynch and GE Capital Real Estate, where he originated transactions and managed large U.S. and international portfolios of real estate equity and debt investments.
